Which agreement applies
Corda operates a shop and a software service. Your rung determines which applies to you. On Maker and Maker ELITE, Corda sells your goods as merchant of record. On Maker PRO, you sell them as merchant of record on software Corda operates. On Maker Purpose, Corda purchases your goods before you make them. Your rung is recorded on your account and governs.
Consignment
On Maker and Maker ELITE your goods are held on consignment. Title remains yours until sale and passes to the customer on sale. Corda is merchant of record: the payment, refunds, chargebacks and sales tax are Corda's. Corda owes you your rate on each sale, recorded when the order settles.
Fulfilment on Maker ELITE
On Maker ELITE, Corda holds your stock, picks, packs and ships each order, and handles returns and customer contact. Stock held by Corda remains your property until sale and is counted jointly. Loss or damage in Corda's custody is Corda's.
What we pay you
Your rate is a percentage of the price at which each of your goods sells. It is set out in your agreement, applies to every good you supply, and is banded by the value of your sales through Corda in the preceding 30 days. A move between bands takes effect on the next order after the threshold is met. A rate agreed for a named good supersedes it for that good. We deduct nothing from it: no commission, no reserve against returns, no charge for early payment, and our retail price does not alter it. We pay 15 days after the sale settles, against a statement itemising each sale, its price and the rate applied. A return inside the return window reverses the sale and is deducted from the next statement.
Card fees
Where you take payment, you keep the processor's rate and Corda adds no platform percentage. Where Corda takes payment, the card cost is Corda's and is not deducted from what you are owed.
Your own shop
Maker PRO provides a site on your domain and makes you merchant of record on it: your payment account, chargebacks, refunds, registrations and filings. Maker ELITE provides the same site with Corda as merchant of record. Goods on the Corda shelf remain consignment on both rungs.
What the rungs cost
Placement is free. Maker PRO is $49 a month after a 14 day trial. Maker ELITE is $99 a month. Both are month to month; cancellation ends the software, not your placement. Maker Purpose and Maker Legacy carry no subscription and are agreed in writing.
Introductions
A member you introduce earns you 15% of what they pay Corda for 12 months. A maker you introduce earns you 10% of what they pay Corda for 12 months. Rate and term are fixed at the date of introduction and are uniform across rungs. On Maker ELITE you also earn on purchases made by customers you introduce, at the rate and monthly ceiling in your agreement; that ceiling resets each calendar month.
Domain, customers and data
The domain, the brand and the customer list from your own shop are yours, exportable in full at any time and after termination. Where Corda is merchant of record, Corda is a controller of that customer's data for that sale. Reporting on Corda shelf sales is aggregated and does not identify a customer.
Purchase orders
On Maker Purpose the wholesale rate is agreed in writing before each order and stated in the purchase order. Title and risk of loss pass on delivery and acceptance. Payment is 15 days from the later of delivery or a correct invoice. A first order creates no obligation to reorder; reorder triggers are indicative. Corda is bound to a future quantity only under a signed Forward Purchase Commitment.
Deposits and advances
A deposit or advance funds the production run it names and is not general working capital. You grant Corda a purchase money security interest in the goods produced with it, in the materials bought with it and in the proceeds. Corda may file a UCC-1 covering that collateral.
Retail pricing
Corda sets the retail price, the listing, the categorisation and the discontinuation of goods on corda.yoga. You set retail on your own shop. Corda honours a minimum advertised price you publish where it binds your direct channel on the same terms; it governs advertised price only and does not restrict store credit, member pricing, bundles or clearance.
Photography and content
Corda owns the photography, copy and creator content it produces and pays for. Images are made from photographs of the actual product. You receive a free, perpetual, worldwide licence to use those files, including in your own store and advertising, and the licence survives termination. Creator content made for your products is licensed on the same terms.
Your product
You warrant that the goods are genuine, lawful to sell and accurately labelled, and that every claim you ask Corda to repeat is substantiated. You indemnify Corda against injury, defect, infringement and recall arising from your product.
Termination
Either party may terminate on 30 days' notice. Accepted purchase orders and signed Commitments survive termination. Consignment stock in Corda's custody is returned at Corda's cost or purchased at an agreed rate. On termination of hosting you retain the domain and have 30 days to export your pages, products and customers.
Investment
Equity and debt offers under Maker Legacy are made in separate instruments and bind neither party until signed. They do not condition your placement, your rung or your rates.
Changes to these terms
A change takes effect on the next order you accept after publication and does not apply to an order or Commitment already agreed. Corda gives 30 days' notice of a material change. These clauses are the standard terms; anything specific to you is in your purchase order, hosting agreement or ELITE agreement.
